Full Fact API and Content Syndication Licence

By exercising the Licensed Rights (defined below), You accept and agree to be bound by the terms and conditions of this licence agreement (“Licence”). You are granted the Licensed Rights in consideration of Your acceptance of these terms and conditions, and Full Fact grants You such rights in consideration of benefits Full Fact receives from making the Licensed Material available under these terms and conditions.
1. Interpretation
1.1. “Adapted Material” means material that is derived from or based upon the Licensed Material and in which the Licensed Material is translated, altered, arranged, transformed, or otherwise modified in a manner requiring permission under the IP Rights held by Full Fact. For the avoidance of doubt, Adapted Material is always produced where any text, material or content is edited, added to, deleted or omitted from a Fact Check so that it does not display in its entirety and without modification in the same full form it appears on the relevant web/app page of the Full Fact Website, including all embedded hyperlinks, corrections, dates (including correction dates). Where the Licensed Material is a musical work, performance, or sound recording, Adapted Material is always produced where the Licensed Material is synched in timed relation with a moving image.
1.2. “Documentation” means the documentation published by Full Fact from time to time at http://api.fullfact.org/content/documentation that describes, and contains all technical and other conditions for using, accessing or connecting with, the Full Fact API.
1.3. “Fact Check” means a fact check published by Full Fact from time to time.
1.4. “Full Fact” is a registered charity (no. 1158683) and a non-profit company (no. 6975984) limited by guarantee and registered in England and Wales.
1.5. “Full Fact API” means the API described in the Documentation and which is at http://api.fullfact.org/content.
1.6. “Full Fact Logo” means the Full Fact logo owned by Full Fact which is contained in Schedule 1 to this Licence and including any accompanying text contained in Schedule 1, and any future logo or mark (and accompanying text) adopted by Full Fact and either notified to You or made generally available by Full Fact.
1.7. “Full Fact Website” means Full Fact’s website at https://fullfact.org/ together with any downloadable app that Full Fact may make available with substantially similar features to the website.
1.8. “IP Rights” means trade mark, copyright and/or similar rights closely related to the same including, without limitation, performance, broadcast, sound recording, and Sui Generis Database Rights, without regard to how the rights are labelled or categorised. For purposes of this Licence, patent rights are not IP Rights.
1.9. “Licensed Material” means the artistic or literary work, database, or other material to which Full Fact has applied this Licence, namely Fact Checks which are made available for reproducing and Sharing using the Full Fact API, together with the Full Fact Logo.
1.10. “Licensed Rights” means the rights granted to You subject to the terms and conditions of this Licence, which are limited to all IP Rights that apply to Your use of the Licensed Material and that Full Fact has authority to license.
1.11. “Share” means to provide material to third parties including to the public at large by any means or process that requires permission under the Licensed Rights, such as reproduction, public display, public performance, distribution, dissemination, communication, or importation, and to make material available to third parties including in ways that third parties may access the material from a place and at a time individually chosen by them; and “Sharing” shall be construed accordingly.
1.12. “Sui Generis Database Rights” means rights other than copyright resulting from Directive 96/9/EC of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, as amended and/or succeeded, as well as other essentially equivalent rights anywhere in the world.
1.13. “You” means the individual or entity exercising the Licensed Rights under this Licence. “Your” has a corresponding meaning.
1.14. Any words that follow “include”, “includes”, “including”, “in particular” or any similar words and expressions shall be construed as illustrative only and shall not limit the sense of any word, phrase, term, definition or description preceding those words.
2. Scope
2.1. License grant
2.1.1. Subject to the terms and conditions of this Licence, Full Fact hereby grants You a worldwide, royalty-free, non-sublicensable, non-exclusive, revocable license to exercise the Licensed Rights in the Licensed Material to:
- (A) reproduce and Share the Licensed Material; and
- (B) produce and reproduce, but not Share, Adapted Material.
2.1.2. Term. The term of this Licence is specified in Section 7.1.
2.1.3. No endorsement. Nothing in this Licence constitutes or may be construed as permission to assert or imply that You are, or that Your use of the Licensed Material is, connected with, or sponsored, endorsed, or granted official status by, Full Fact or others designated to receive attribution as provided in Section 3.1.1(E)(i) and You hereby undertake not to assert or imply that anything You do, publish or otherwise communicate is endorsed by Full Fact.
2.2. Other rights
2.2.1. Moral rights, such as the right of integrity, are not licensed under this Licence, nor are publicity, privacy, and/or other similar personality rights; however, to the extent possible, Full Fact waives and/or agrees not to assert any such rights held by Full Fact to the limited extent necessary to allow You to exercise the Licensed Rights, but not otherwise.
2.2.2. Patent rights are not licensed under this Licence.
3. License Conditions
Your exercise of the Licensed Rights is expressly made subject to the following conditions.
3.1. Attribution and other conditions
3.1.1. If You Share the Licensed Material, You must:
- (A) Share each Fact Check in its entirety and without modification in the same full form it appears on the relevant web/app page of the Full Fact Website, including all embedded hyperlinks, corrections, dates (including correction dates);
- (B) comply with any acceptable use policy that Full Fact publishes on the Full Fact Website from time to time and which is stated to apply to this Licence, the Full Fact API or the Licensed Material;
- (C) comply with all technical and other conditions and restrictions in connection with using, accessing or connecting with the Full Fact API that are set out in the Documentation;
- (D) include the following:
- (i) the Full Fact Logo (including any accompanying text contained in Schedule 1) in its entirety and without modification; and
- (ii) a URL or hyperlink back to the relevant web/app page of the Full Fact Website for each Fact Check You Share;
- (E) retain the following if it is supplied by Full Fact with the Licensed Material:
- (i) identification of the creator(s) of the Licensed Material as stated on the relevant web page of each Fact Check You Share and any others designated to receive attribution, in any reasonable manner requested by Full Fact (including by pseudonym if designated);
- (ii) a copyright notice;
- (iii) a notice that refers to this Licence;
- (iv) a notice that refers to the disclaimer of warranties; and
- (F) ensure that any third party with which You Share Licensed Material is aware that it must only re-share such Licensed Material on these terms by indicating the Licensed Material is licensed under this Licence, and include the text of, or the URI or hyperlink to, this Licence;
For the avoidance of doubt, You do not have permission under this Licence to Share Adapted Material.
3.1.2. If requested by Full Fact, You must promptly (and in any event within 7 days) remove any of the information required by Section 3.1.1 to the extent reasonably practicable.
3.2. Prohibitions
3.2.1. If You use the Full Fact API or Share the Licensed Material, You must NOT:
- (A) knowingly, recklessly or negligently access, store, distribute or transmit any software, code, file, programme, data or materials that:
- (i) may prevent, impair or otherwise adversely affect the operation of the Licensed Material or any computer software, hardware or network in which it is hosted or run (including worms, Trojan horses, viruses and other similar things or devices); or
- (ii) in a manner that is illegal or causes damage or injury to any person or property;
- (B) do so in any way that distorts or misrepresents a Fact Check or which is detrimental to the reputation or objectives of Full Fact or any creator of Licensed Material; or
- (C) You shall not sell or exploit any Licensed Material.
For the avoidance of doubt, Section 3.2.1(C) does not restrict You from Sharing Licensed Material as part of Your own commercial service, provided that You do not charge any form of payment (or receive any other type of consideration) for Sharing the Licensed Material in and of itself.
4. Sui Generis Database Rights
Where the Licensed Rights include Sui Generis Database Rights that apply to Your use of the Licensed Material:
4.1. for the avoidance of doubt, Section 2.1.1 grants You the right to extract, reuse, reproduce, and Share all or a substantial portion of the contents of the database, provided You do not Share Adapted Material;
4.2. if You include all or a substantial portion of the database contents in a database in which You have Sui Generis Database Rights, then the database in which You have Sui Generis Database Rights (but not its individual contents) is Adapted Material; and
4.3. You agree that if You create a new database such that it is Adapted Material pursuant to Section 4.2 then You cannot Share such new database.
For the avoidance of doubt, this Section 4 supplements and does not replace Your obligations under this Licence where the Licensed Rights include other IP Rights.
5. Disclaimer of Warranties and Limitation of Liability
5.1. To the maximum extent permitted by law, Full Fact offers the Licensed Material as-is and as-available, and makes no representations or warranties of any kind concerning the Licensed Material, whether express, implied, statutory, or other. This includes, without limitation, warranties of title, merchantability, fitness for a particular purpose, non-infringement, absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not known or discoverable.
5.2. To the maximum extent permitted by law, in no event will Full Fact be liable to You on any legal theory (including, without limitation, negligence) or otherwise for any direct, special, indirect, incidental, consequential, punitive, exemplary, or other losses, costs, expenses, or damages arising out of this Licence or use of the Licensed Material, even if Full Fact has been advised of the possibility of such losses, costs, expenses, or damages.
5.3. The disclaimer of warranties and limitation of liability provided above shall be interpreted in a manner that, to the maximum extent permitted by law, most closely approximates an absolute disclaimer and waiver of all liability.
6. Indemnity
6.1. You shall indemnify, keep indemnified and hold Full Fact harmless against any liabilities, costs, expenses, damages and losses (including reasonable legal fees, settlements, and judgments) incurred by Full Fact in connection with (i) Your breach of this Licence; and (ii) any third party claims (however arising) that relate to Your use of the Licensed Materials or the Full Fact API.
7. Term and Termination
7.1. Subject to earlier termination by Full Fact, this Licence applies for the term of the IP Rights licensed here.
7.2. Without affecting any other right or remedy available to it, Full Fact may in its sole and absolute discretion terminate this Licence or revoke the Licence immediately at any time by communicating such termination or revocation to You.
7.3. Without limiting Section 7.2 and without affecting any other right or remedy available to it, Full Fact may terminate this Licence or revoke the Licence immediately by communicating such termination or revocation to You if:
7.3.1. You breach any of the terms of this Licence;
7.3.2. Full Fact considers that any act or omission of You has been or is likely to be detrimental to the reputation or objectives of Full Fact or any creator of Licensed Material;
7.3.3. if a claim of infringement of any intellectual property right or other right of any third party is communicated to Full Fact in respect of Licensed Material.
7.4. Full Fact may exercise its termination or revocation rights described in this Section 7 in respect of all Licensed Material or in respect of one or more Fact Checks, in Full Fact’s sole and absolute discretion.
7.5. On termination or revocation of this Licence by Full Fact, You shall:
- (A) stop Sharing all Licensed Material immediately; and
- (B) take all steps consistent with good practice in order to irretrievably delete all Licensed Material as soon as reasonable practicable and in any event within 7 days of the date of termination or revocation of this Licence.
7.6. In addition to any other rights and remedies, Full Fact reserves its right to obtain injunctive or equitable relief to prevent or curtail any threatened or actual breach of this Licence involving the use or disclosure of the Licensed Material.
7.7. For the avoidance of doubt, Full Fact may also offer the Licensed Material under separate terms or conditions or stop distributing the Licensed Material at any time.
7.8. Full Fact may in its sole and absolute discretion disable the Full Fact API (for one, several or all users) and/or remove any Licensed Material from the Full Fact Website at any time.
7.9. Sections 1, 5, 6, 7, 9, 10 and 11 survive termination of this Licence.
8. Updates to this Licence
8.1. Full Fact may update the terms and conditions of this Licence from time to time by publishing the updated version on the Full Fact Website and/or notifying the updated version to You. The updated version shall take effect from the date of its publication on the Full Fact Website and shall apply to Your continuing exercise of the Licensed Rights thereafter, subject to Section 8.2.
8.2. If You do not wish to be bound by the terms and conditions of a version of this Licence that is updated as described in Section 8.1 You may instead treat this Licence as terminated pursuant to Section 7.2.
9. Other Terms and Conditions
9.1. Full Fact shall not be bound by any additional or different terms or conditions communicated by You unless expressly agreed by Full Fact in writing.
9.2. Any arrangements, understandings, or agreements regarding the Licensed Material not stated herein are separate from and independent of the terms and conditions of this Licence.
10. Interpretation
10.1. For the avoidance of doubt, this Licence does not, and shall not be interpreted to, reduce, limit, restrict, or impose conditions on any use of the Licensed Material that could lawfully be made without permission under this Licence.
10.2. To the extent possible, if any provision of this Licence is deemed unenforceable, it shall be automatically reformed to the minimum extent necessary to make it enforceable. If the provision cannot be reformed, it shall be severed from this Licence without affecting the enforceability of the remaining terms and conditions.
10.3. No term or condition of this Licence will be waived and no failure to comply consented to unless expressly agreed to in writing by Full Fact.
10.4. Nothing in this Licence constitutes or may be interpreted as a limitation upon, or waiver of, any privileges and immunities that apply to Full Fact, including from the legal processes of any jurisdiction or authority.
11. Governing Law and Jurisdiction
11.1. This Licence and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law. Full Fact and You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Licence or its subject matter or formation (including non-contractual disputes or claims).
